These terms of use (the “terms”) govern access to the uempire.ca website and its product presentation subdomains (the “site”), operated by UEMPIRE Inc. (“UEMPIRE”, “we”). Please read them carefully.
Acceptance of terms
By accessing or using the site, you accept these terms and our Privacy Policy. If you do not accept them, please do not use the site.
Purpose of the site
The site presents UEMPIRE, its ecosystem of products, its services, its work and its career opportunities, and lets you contact us. Its content is provided for information; it is neither a contractual offer nor professional advice.
Eligibility and lawful use
You agree to use the site in accordance with applicable laws and these terms. If you use the site on behalf of an organization, you represent that you are authorized to bind it to these terms.
Permitted and prohibited conduct
In particular, you may not:
- attempt to gain unauthorized access to the site, its servers or systems, or disrupt their operation;
- circumvent or attempt to circumvent security measures, including bot protection;
- use bots, scraping tools or any automated means to submit forms or collect site content without our written permission;
- transmit unlawful, misleading, defamatory or malicious content, content that infringes the rights of others, or any file containing a virus or harmful code;
- impersonate another person or provide false information.
Intellectual property
The site and its content — text, visuals, graphic elements, 3D scenes, code and layout — are protected by intellectual property laws and belong to UEMPIRE or its licensors. You may view the site for your personal use or to evaluate working with UEMPIRE. Any other reproduction, modification, distribution or use, in whole or in part, requires our prior written permission.
Screenshots of projects built for our clients are shown as a portfolio; the brands and content in them belong to their respective owners.
UEMPIRE trademarks and brand assets
UEMPIRE, the U symbol and the names and logos of ecosystem products (including UVO, Ufood, Udelivery, Unitea, ULink, Ukei and Uplifi) are trademarks or brand assets of UEMPIRE or of their respective owners. No licence to use them is granted to you. You may not reproduce, modify or use them in any way likely to cause confusion or to suggest an affiliation or endorsement without our written permission.
Product and service information
Product and service descriptions are indicative and may change. Some products are in development or not yet publicly available; mentioning them is not a commitment as to their availability, features or launch date. UEMPIRE products and services may be subject to their own terms, which prevail for their use.
Availability of the site
We strive to keep the site available but do not guarantee continuous, uninterrupted or error-free access. We may suspend, change or withdraw all or part of the site, including for maintenance or security reasons.
Third-party sites and services
The site links to third-party sites and services, including projects built for our clients. These links are provided for convenience; we have no control over those sites and accept no responsibility for their content, availability or practices.
App Store and Google Play
Where the site links to Apple’s App Store or Google Play, downloading and using apps is governed by those platforms’ terms and by each app’s own terms. Apple and Google are not parties to these terms. Platform badges are shown only when an official, verified link exists.
Information you submit
You are responsible for the accuracy of the information you send us through the forms and represent that you have the right to share it. Do not send third parties’ confidential information or trade secrets: submitting an idea or project through the site does not, by itself, create any duty of confidentiality or contractual relationship, unless a separate written agreement says otherwise.
Job applications
Sending an application, spontaneous or not, creates no obligation to hire or to provide a detailed response. The information and résumé sent are handled in accordance with our Privacy Policy, solely to assess applications.

Our Privacy Policy, which forms part of these terms, explains how we handle personal information collected through the site.
Security
The site’s forms are protected by anti-bot and submission-throttling measures. We may refuse, block or delete any submission we consider automated, abusive or contrary to these terms. If you discover a vulnerability, please report it responsibly to info@uempire.ca.
Disclaimer of warranties
To the extent permitted by applicable law, the site and its content are provided “as is” and “as available”, without warranty of any kind, express or implied, including as to accuracy, completeness or fitness for a particular purpose. Nothing in these terms limits the warranties you benefit from under mandatory law, including consumer protection law.
Limitation of liability
To the extent permitted by applicable law, UEMPIRE will not be liable for indirect, incidental or consequential damages, or for loss of data, revenue or business opportunity, arising from the use of or inability to use the site. This limitation does not apply to bodily or moral injury caused by fault, to gross or intentional fault, or where the law prohibits excluding or limiting liability.
Indemnity
To the extent permitted by law, you agree to indemnify UEMPIRE against third-party claims arising from your breach of these terms or your unlawful use of the site. This clause does not apply to a consumer where the law prohibits it.
Changes to the site and terms
We may change the site and these terms. The version in force is the one published on the site, with its last-updated date. Changes apply from publication; if you continue to use the site afterwards, you accept the amended terms.
Restriction or suspension of access
We may restrict, suspend or block access to the site or its forms, without notice, in the event of a breach of these terms, fraudulent or automated activity, or to protect the site and its users.
Governing law
These terms are governed by the laws applicable in Canada, including those of the competent province, without regard to conflict-of-laws rules. Any dispute is submitted to the courts having jurisdiction under those laws. If you are a consumer, you keep the protection and remedies granted by the mandatory laws of your place of residence, including Québec’s Consumer Protection Act.
Severability
If any provision of these terms is held invalid or unenforceable, it will be enforced to the extent permitted and the remaining provisions will remain in effect.
Entire agreement
These terms and the Privacy Policy form the entire agreement between you and UEMPIRE regarding the use of the site. They do not replace separate contracts entered into with UEMPIRE for its products or services, which prevail for their subject matter.
